The specific services included in a purchase will be determined by the product description, checkout page, selected package, written proposal, or service agreement provided at the time of purchase.
3. Website Design and Development
Template-Based Websites
Standard website packages use pre-designed layouts and streamlined design options to provide a professional online presence with a faster turnaround and more affordable pricing than a fully custom website.
Template-based packages do not include unlimited customization, extensive custom coding, or major structural redesigns unless expressly stated in the package description.
Custom Website Builds
Custom website projects are subject to the scope, deliverables, pricing, estimated timeline, and revision limits agreed upon in writing before work begins.
Requests outside the agreed scope may require additional fees and may extend the project timeline.
Design Approval
Customers are responsible for reviewing website drafts and providing timely feedback, corrections, and approval. Delays in receiving content, approvals, or required information may delay delivery.
4. Customer Responsibilities
Customers agree to provide accurate and complete information necessary to complete their projects, including, when applicable:
-
Business name, contact information, and service descriptions.
-
Logos, photographs, branding materials, and other requested assets.
-
Website copy and business details.
-
Domain and account access when required.
-
Necessary permissions or licenses for supplied content.
Customers are responsible for ensuring they have the legal right to use any text, photographs, logos, trademarks, or other materials they provide.
Sparrow is not responsible for delays or errors caused by inaccurate information, missing materials, or delayed customer responses.
5. Pricing and Payments
All prices will be disclosed on the applicable product page, checkout page, invoice, or written proposal.
Website setup fees, custom development fees, recurring subscription charges, domain registration and renewal fees, add-on services, and applicable taxes will be presented before purchase.
One-time setup fees are separate from recurring monthly charges unless expressly stated otherwise.
Payment must be received according to the terms disclosed at checkout or in the applicable service agreement. Sparrow may pause work or suspend services for overdue payments, subject to applicable law and any required notice.
6. Non-Refundable Fees
All fees paid to Sparrow Site Solutions are non-refundable once paid, except where a refund is required by applicable law or expressly agreed to in writing by Sparrow.
This policy applies to website setup fees, design and development fees, maintenance and hosting payments, photography services, domain-related services, and other purchased services.
Customers are responsible for reviewing the services, pricing, billing terms, and scope of work before completing a purchase.
If Sparrow cannot deliver a purchased service, Sparrow will work with the customer to determine an appropriate resolution, which may include correcting the issue, providing a replacement service, or issuing a refund where appropriate or legally required.
Nothing in this policy limits refund, cancellation, or other rights that cannot legally be waived.
7. Monthly Maintenance and Hosting Plan
The Monthly Maintenance & Hosting Plan provides ongoing hosting and maintenance for websites managed by Sparrow Site Solutions.
Depending on the purchased plan, services may include:
-
Website hosting and SSL configuration.
-
Routine website maintenance.
-
Security updates.
-
Software or platform updates, where applicable.
-
Minor content updates and website changes.
-
Technical support and troubleshooting.
-
Website performance monitoring.
-
Setup of up to 10 custom business email addresses.
The exact services included will be identified in the applicable plan description.
The plan does not include unlimited website edits, new website pages, extensive redesigns, custom development, professional photography, paid advertising, or other services not expressly included in the selected plan.
Additional Work and Requests
Requests for additional work will be reviewed by the customer's assigned account manager. The account manager will determine whether a request falls within the existing plan or requires an additional fee or separate service agreement.
Additional charges will be communicated to the customer before the additional work begins. Sparrow may decline requests that fall outside its services, technical capabilities, or applicable policies.
8. Free First Month Promotion and Billing Start
The first month of the Monthly Maintenance & Hosting Plan is free for qualifying new website customers while their website is being built.
The promotion works as follows:
-
The customer purchases the applicable website design package and any required setup services.
-
The Monthly Maintenance & Hosting Plan is automatically added to the cart when applicable to the selected package.
-
The monthly maintenance and hosting fee is waived during the qualifying website development period.
-
The website development period ends when Sparrow notifies the customer that the website is completed and ready for launch or customer use.
-
The regular monthly billing cycle begins following website completion, at the subscription rate disclosed during checkout.
The free month applies only to the Monthly Maintenance & Hosting Plan. Website setup fees, annual domain registration or renewal fees, and other separately priced services remain payable.
Sparrow will communicate the website completion and applicable subscription billing date to the customer.
Customers are responsible for providing timely content, approvals, and information needed to complete their websites. Customer-caused delays may extend the development timeline.
The free development-period promotion does not eliminate the recurring subscription obligation after the website is completed. Customers should review the applicable subscription price and cancellation requirements before purchasing.
9. Automatic Billing and Cancellation
Monthly Maintenance & Hosting Plans renew automatically at the disclosed monthly rate once the subscription billing cycle begins.
By purchasing a recurring plan, the customer authorizes the payment method provided at checkout to be charged the applicable recurring fee.
Customers must provide at least 30 days' written notice to cancel their Monthly Maintenance & Hosting Plan.
Cancellation requests must be submitted through the cancellation method or contact channel designated by Sparrow Site Solutions. Customers should retain confirmation of their cancellation request.
Customers remain responsible for subscription fees that become due during the applicable notice period. Cancellation will take effect after the required notice period has elapsed, subject to the applicable billing terms and applicable law.
Canceling a subscription does not automatically cancel separately billed domain registrations, third-party email subscriptions, or other services purchased independently.
Sparrow may suspend or terminate services for nonpayment, material violations of these terms, unlawful activity, or security risks, subject to applicable law and any required notice.
10. Website Access After Cancellation
Websites hosted and managed by Sparrow Site Solutions are provided as part of the customer's active website service and applicable maintenance and hosting plan.
When the Monthly Maintenance & Hosting Plan is canceled or terminated, the customer's website will no longer be available through Sparrow Site Solutions.
Hosting, website access, and associated managed website functionality will end when the service terminates. Customers should not assume that their website will remain live or accessible after cancellation.
Customers who wish to transfer or migrate their website must request assistance before the service termination date.
Website transfer, migration, export, or transition assistance may incur additional fees and is subject to technical limitations, third-party licensing restrictions, platform capabilities, and Sparrow's approval of the requested work.
Customers are encouraged to arrange any desired transfer before the end of the cancellation notice period. Sparrow does not guarantee that every website component, licensed feature, or third-party integration can be transferred to another provider.
Domain registration and ownership are separate from website hosting. Canceling the maintenance plan does not automatically cancel a separately registered domain, and customers remain responsible for applicable annual domain renewal fees.
11. Domain Registration and Annual Renewal
Custom domain registration and renewal are billed separately on an annual basis unless expressly stated otherwise in the customer's purchase agreement.
Domain availability is not guaranteed until registration is completed. Domain registration, renewals, transfers, and continued use are subject to the applicable registrar's policies and requirements.
Customers are responsible for annual domain renewal charges and for maintaining accurate registration information.
Failure to renew a domain may result in expiration, suspension, or loss of the domain name.
Where a domain is registered through a third-party provider, the domain remains subject to that provider's terms and applicable registration rules.
Sparrow will disclose any domain-related charges applicable to the customer's purchase before the customer commits to those charges.
12. Custom Business Email Addresses
Eligible website packages include setup for up to 10 custom business email addresses using the customer's business domain.
Customers are responsible for providing the names and information needed to configure their email accounts.
Email setup is subject to domain availability, provider requirements, technical compatibility, and the terms of the applicable email provider.
Unless expressly included in the purchased package, ongoing third-party email subscription fees, storage upgrades, premium email features, and additional email accounts may incur separate charges.
Any additional fees will be disclosed before the customer commits to the additional service.
Customers are responsible for protecting their email credentials and complying with the email provider's acceptable-use and security policies.
13. Website Ownership and Intellectual Property
Customers retain ownership of their original business content, logos, photographs, and other materials they supply, subject to any applicable third-party rights.
Ownership and permitted use of custom-designed website deliverables will be governed by the applicable purchase agreement or written service agreement.
Unless otherwise agreed in writing, Sparrow retains ownership of its pre-existing materials, reusable templates, design systems, code libraries, processes, and proprietary tools.
Third-party themes, plugins, stock images, fonts, software, and other licensed materials remain subject to their respective license terms.
Customers may not copy, resell, distribute, or commercially exploit Sparrow's proprietary templates or materials beyond the rights expressly granted to them.
Payment for a website design service does not automatically transfer ownership of Sparrow's underlying templates, reusable systems, or third-party licensed materials.
14. Website Transfers and Backups
Customers who wish to move their websites to another provider may request a transfer before service termination.
Transfer assistance, migration, file preparation, database exports, and technical support may incur additional fees unless included in the purchased plan.
The availability and portability of website files depend on the technology, platform, third-party licenses, and hosting arrangement used.
Customers are encouraged to maintain copies of important business content and request any desired backup or transfer before their service ends.
Sparrow does not guarantee that all website files, third-party components, licensed features, or integrations can be transferred to another provider.
15. Third-Party Services
Sparrow may use third-party platforms and providers for hosting, domains, email, analytics, forms, plugins, payment processing, and other website functions.
These services are subject to their own terms, availability, pricing, and policies.
Sparrow cannot guarantee uninterrupted operation of third-party services and is not responsible for disruptions, policy changes, price increases, or account restrictions caused by those providers.
Where a third-party service requires the customer's own account or subscription, the customer is responsible for maintaining that account and paying applicable charges.
16. Google Business Profile Services
Google Business Profile setup and optimization services may include profile creation assistance, business information updates, category selection, service descriptions, photo uploads, and other agreed-upon optimization work.
Customers must provide accurate business information and maintain any necessary ownership or management access.
Sparrow does not guarantee Google verification, approval, search rankings, customer calls, reviews, website traffic, or a particular position in search results.
Google controls its platform, verification procedures, eligibility requirements, and search algorithms. Customers are responsible for complying with Google's applicable policies.
17. Professional Photography and Customer Content
Photography services will be provided according to the purchased package or written agreement.
Customers are responsible for arranging access to the property, jobsite, employees, or other subjects to be photographed and obtaining any necessary permissions or releases.
Usage rights, editing, delivery format, number of photographs, scheduling, and any travel or rescheduling fees will be determined by the applicable service description or agreement.
Customers may not use photographs beyond the rights granted under their purchase or any applicable third-party license.
Sparrow is not responsible for delays caused by inaccessible locations, unsafe conditions, weather, or circumstances outside its reasonable control.
18. Search Engine Optimization and Business Results
Sparrow may provide basic on-page SEO, website structure improvements, metadata configuration, or other optimization services as part of a package or separate service.
Sparrow does not guarantee specific search engine rankings, lead volume, sales, revenue, website traffic, advertising performance, or business growth.
Results depend on factors outside Sparrow's control, including competition, search engine algorithms, customer demand, website content, and the customer's business practices.
19. Website Availability and Maintenance
Sparrow makes reasonable efforts to keep hosted websites operational and maintained according to the purchased plan.
Temporary downtime may occur because of maintenance, software updates, security incidents, hosting issues, third-party outages, or circumstances beyond Sparrow's reasonable control.
Sparrow does not guarantee uninterrupted or error-free service.
Customers are responsible for reviewing their websites and promptly reporting errors, broken links, inaccurate information, or suspected security problems.
20. Security and Acceptable Use
Customers must not use Sparrow's services to host or distribute unlawful content, malware, phishing schemes, fraudulent material, infringing content, or other prohibited material.
Customers may not attempt to compromise the security or operation of websites, hosting systems, or third-party services.
Sparrow may suspend or restrict services when reasonably necessary to address security threats, unlawful activity, abuse, or violations of these terms, subject to applicable law and any required notice.
Customers remain responsible for the legality and accuracy of their website content and business activities.
21. Limitation of Liability
To the extent permitted by law, Sparrow Site Solutions will not be liable for indirect, incidental, special, consequential, or punitive damages, including lost profits, lost business opportunities, loss of data, or business interruption.
Sparrow is not responsible for losses caused by inaccurate customer-provided information, third-party provider failures, unauthorized account access resulting from compromised customer credentials, or events beyond Sparrow's reasonable control.
To the extent permitted by applicable law, Sparrow's total liability arising from a particular service will not exceed the amount paid to Sparrow for that service during the three months preceding the event giving rise to the claim.
These limitations do not apply where prohibited by law or to liability that cannot legally be limited.
22. Indemnification
To the extent permitted by law, customers agree to be responsible for claims, damages, and expenses arising from unlawful customer-provided content, infringement of third-party rights by materials supplied by the customer, or misuse of Sparrow's services in violation of these terms.
This provision does not require a customer to indemnify Sparrow for Sparrow's own negligence, misconduct, or other liability where such an obligation would be prohibited by law.
23. Changes to Services or Terms
Sparrow may update its services, product offerings, and these Terms & Conditions from time to time.
Material changes to recurring service pricing or subscription terms will be communicated as required by applicable law and the customer's agreement.
Changes to these terms will not retroactively alter a customer's existing agreement unless the customer agrees or applicable law permits otherwise.
24. Termination of Services
Either party may terminate services in accordance with the applicable purchase agreement and cancellation provisions.
Customers must provide the required 30 days' written notice to cancel a Monthly Maintenance & Hosting Plan.
Sparrow may suspend or terminate services for material violations of these terms, nonpayment, unlawful activity, or security risks, subject to applicable law and any required notice or opportunity to cure.
Upon termination, access to hosted websites and other subscription-dependent features may end. Customers are responsible for arranging the transfer of any desired data, domains, or services before termination.
Outstanding fees for services already provided, along with charges due during the applicable cancellation notice period, remain payable.
25. Privacy
Sparrow may collect and process information necessary to provide services, manage customer accounts, process payments, and communicate about projects and subscriptions.
The collection, use, storage, and disclosure of personal information will be described in a separate Privacy Policy. Customers should review that policy before purchasing services.
26. Governing Law and Disputes
These Terms & Conditions will be governed by the laws of the State of Mississippi, without regard to conflict-of-law principles, to the extent permitted by applicable law.
Any dispute will be handled in a court with appropriate jurisdiction, subject to applicable consumer protection laws and other mandatory legal requirements.

These Terms & Conditions, together with the applicable product descriptions, checkout disclosures, written proposals, and service agreements, constitute the agreement between Sparrow Site Solutions and the customer regarding the services purchased.
If a separate written agreement expressly modifies a provision of these terms, the specific provision in that written agreement will control for the applicable service to the extent permitted by law.
